上述注冊登記完成后,對注冊登記內容的任何變更,均應經審批機關同意,并報登記機關備案。經營期滿需要延長經營期限的,應在距經營期滿180天前向審批機關報送延長經營期限的申請,并在取得批準后在登記機關辦理變更登記手續。
Introduction to the Procedure for Establishing Resident Representative Offices for Foreign Enterprises & Non-enterprise Economic Organizations and Foreign-funded Enterprises and Other Businesses
To facilitate the investment and business operation of foreign businesses, further improve the investment environment, and boost the city’s open-door policy to the outside world, Shenzhen Foreign Economy and Trade Service Center (SZFETSC) acts as a comprehensive service organization directly under the administration of the Shenzhen Trade & Industry Bureau, and adheres to the tenet of “efficiency, convenience, credibility and considerateness” since its founding in 1993. It provides one-stop authorized services, including business consulting and registration, for such purposes as the establishment, change and license-extension of representative offices for foreign enterprises, non-enterprise organizations and foreign-funded enterprises. As the appointed organizer authorized by Shenzhen Trade & Industry Bureau, the SZFETSC is responsible for submitting the application documents for establishment, change and extension of the representative offices on behalf of the foreign enterprises and non-enterprise organizations to the Ministry of Commerce of the State and the Shenzhen Trade & Industry Bureau. The procedures are described as follows:
Procedure for Establishing Representative Offices for Foreign Enterprises and Non-enterprise Organizations
1. Official documents of the government (the Ministry of Commerce and the Shenzhen Trade & Industry Bureau)
(According to the stipulations of the state, as from July 1, 2004, except for enterprises in special industries, the establishment of representative offices by foreign enterprises shall include direct industrial and commercial registration)
2. Industrial and commercial registration (the Shenzhen Industrial and Commercial Administrative Management Bureau)
3. Prepare company seals (the Shenzhen Public Security Bureau)
4. Organize the registration of the organization code (the Shenzhen Quality and Technology Supervision Bureau)
5. Tax registration (the Shenzhen National Tax Administration and the Shenzhen Local Taxation Bureau)
After the previous registration is completed, any change of the registered content shall be reported to the registry for registration. The residence period of the representative office is normally three years. The extension formalities shall be undertaken within the sixty (60) days before the end of the residence period.
Procedure for Establishing Foreign-funded Enterprises
1. The advance review and approval of the company name (the Shenzhen Industrial and Commercial Administrative Management Bureau)
2. Official documents for fire protection and environment protection (the Shenzhen Fire Control Bureau and the Shenzhen Environment Protection Bureau)
3. Official documents for the review and approval of project initiation (the Ministry of Commerce and the Shenzhen Trade & Industry Bureau)
4. Enterprise pre-endowed code (the Shenzhen Quality and Technology Supervision Bureau)
5. Industrial and commercial registration (the Shenzhen Industrial and Commercial Administrative Management Bureau)
6. Preparation of company seals (the Shenzhen Public Security Bureau)
7. Enterprise code card (the Shenzhen Quality and Technology Supervision Bureau)
8. Tax registration (the Shenzhen National Tax Administration and the Shenzhen Local Taxation Bureau)
9. Foreign exchange license (the State Administration of Foreign Exchange Shenzhen Branch)
10. Registration at customs (the Shenzhen Customs)
After the registration is completed, any changes to the registration information shall be approved by the authorities concerned, and shall be reported to the registry for registration. Where the extension of the business license is necessary due to imminent expiry, the enterprise concerned shall submit an application for the extension of the business license to the authorities within one hundred and eighty (180) days before the expiry of the business operation period. Upon receipt of the approval, the enterprise shall undertake the registration formalities at the registry.
